1. Introduction and Acceptance of These Terms

These Terms and Conditions ("Terms") govern your access to and use of the TargetWise website, API, and dashboard (together, the "Site" or "Service"), operated by Global Data Intelligence Limited, trading as TargetWise. By registering for an account, accessing our API, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you should not use the Service.

2. Access and Registration

  1. You must be 18 years of age or older to use this Site or Service.
  2. Much of our website can be browsed freely without registering an account. However, to place an order, purchase enrichment credits, access our API, or reach certain restricted sections of the Site, you will need to register for an account.
  3. You must ensure that all information you provide when registering, placing an order, or otherwise interacting with the Service is true, accurate, current, and complete in all material respects.
  4. If your registration details change after you've created an account, you are responsible for updating them promptly through your account settings.
  5. Login credentials, including your API key, are issued for use by a single account holder only. You must not share your login credentials, password, or API key with any other individual or organisation. You will be held responsible for all activity that occurs under your account and credentials, whether or not you were personally aware of that activity at the time it occurred.
  6. If you become aware, or have reason to suspect, that your login credentials or API key have been compromised, misused, or accessed without authorisation, you must notify TargetWise immediately by emailing office@targetwise.ai. We reserve the right to suspend access pending investigation of any such report.

3. Description of Our Services

  1. TargetWise provides a business-to-business data enrichment platform, accessible via API and web dashboard, that allows customers to submit minimal contact information (such as a name and company) and receive enriched, verified contact data in return, including email addresses, phone numbers, job titles, and related firmographic details.
  2. Access to this platform is provided on a pay-as-you-go basis, at the prices published on our pricing page from time to time, unless you have entered into a separate enterprise agreement with us that specifies different commercial terms.
  3. Any rights not expressly granted to you under these Terms are reserved by TargetWise. If you wish to use our Service, data, or platform in any manner not expressly permitted under these Terms — including, but not limited to, redistributing enriched data as a standalone product, incorporating it into a competing service, or making it available via a third-party intranet, extranet, or mobile application not operated by you — you must first obtain our prior written permission. We may grant or withhold such permission entirely at our own discretion.

4. Purchased and Enriched Data

4.1 Permitted Use of Enriched Data

When you successfully purchase enriched contact data through TargetWise — whether via a single API call, a bulk enrichment request, or a credit-based subscription — you are purchasing a limited, non-exclusive right to use that data for your own internal business purposes. Specifically, you may:

  • import the enriched data into your own customer relationship management (CRM) system, marketing automation platform, or other internal sales and marketing tools;
  • download the data in an available electronic format (such as CSV or JSON);
  • store the data securely for ongoing internal business use;
  • use the enriched contact details to communicate with the individuals identified, provided such communications comply with applicable marketing, telecommunications, and data protection laws (including PECR and the GDPR, where applicable).

4.2 Restrictions on the Use of Enriched Data

Except as expressly permitted above, you may not:

  • resell, sublicense, or otherwise make available the enriched data, in whole or in part, as a standalone product or service to any third party;
  • use robotic, automated, or other scraping methods to extract data from the Site beyond the scope of your authorised API usage;
  • share your purchased or enriched data with any individual or organisation outside your own business, except where necessary to deliver services you provide to your own end customers, and subject to appropriate contractual protections being in place;
  • remove, obscure, or alter any attribution, copyright notice, or metadata associated with the data provided to you.

5. API and Platform Access

  1. TargetWise primarily delivers its enrichment services through a documented API, as well as a web-based dashboard for account management, bulk uploads, and reporting.
  2. Use of any data returned through our API or dashboard is subject to the permissions and restrictions described throughout these Terms. These restrictions exist to strike an appropriate balance between giving our customers the flexibility they need to integrate enriched data into their own systems, and protecting the substantial investment TargetWise has made in building and maintaining its underlying data infrastructure and matching technology.
  3. Technical support for API integration, troubleshooting, and general platform use is available to registered account holders during our standard business hours, via the contact details published on our Site.
  4. What your account entitles you to do
    1. Registering for a TargetWise account, and maintaining a positive account balance or active subscription, entitles you to submit enrichment requests and receive matched contact data through our API or dashboard, subject to these Terms.
    2. Requests are billed according to the pricing tiers published on our Site at the time of your request, and, in accordance with our "pay only for valid matches" model, you are only charged where a valid, verified match is successfully returned. Within the scope of your account, you may:
      • submit individual or bulk records for enrichment via API calls or file upload;
      • download matched results in a supported file format;
      • store and use matched data internally for legitimate sales and marketing purposes;
      • integrate enrichment results directly into your own CRM, marketing automation platform, or internal business tools via our API.
  5. Restrictions specific to API and platform use
    • You must not share your API key with any individual or entity outside your own organisation, nor permit any third party to submit enrichment requests using your account credentials.
    • Enriched data obtained through our API may not be resold, sublicensed, or offered as a standalone data product or feed to any third party.
    • You must not remove, obscure, or alter any copyright notice, attribution, or metadata associated with data obtained through our API or platform.
    • If you are ever unclear about what your account or subscription permits in terms of use of our data and services, please contact our support team at office@targetwise.ai for clarification before proceeding.

6. Eligibility and Placing an Order

  1. To place an order or subscribe to TargetWise's paid services, you must:
    • be placing the order on behalf of a genuine business, and possess the necessary authority to bind that business to these Terms;
    • register by providing accurate business details (including business name and address) and your own accurate contact information;
    • hold a valid payment method accepted by our payment processor, Stripe (which may include major credit and debit cards).
  2. How and when a contract is formed

    Submitting an order, purchasing enrichment credits, or subscribing to a plan constitutes an offer by you to purchase services from TargetWise. A binding contract is formed once the following steps have occurred:

    • you have completed the checkout, credit purchase, or subscription process on our Site or dashboard;
    • you receive an on-screen confirmation indicating that your order or subscription has been successfully processed;
    • TargetWise sends you a confirmation email or receipt setting out what you have purchased and the total amount charged.

7. Acceptable Use of Our Platform

  1. You agree to use TargetWise's platform, API, and dashboard in a manner that is responsible, professional, and lawful, consistent with the permitted uses described in these Terms and with standard industry practice for business data enrichment services. TargetWise may implement reasonable usage restrictions — including rate limits, request throttling, or other technical controls — designed to prevent abuse, excessive usage, or activity that could interfere with the proper functioning of our platform for other customers.
  2. You must not attempt to override, circumvent, or bypass any security feature, rate limit, authentication mechanism, or other usage control implemented within our platform. This includes, without limitation, using automated scripts or bots to make excessive or abusive requests to our API. Engaging in such conduct may result in the temporary or permanent suspension of your account.
  3. TargetWise reserves the sole discretion to determine what constitutes abusive or excessive use of our platform. Where practical, we will make reasonable efforts to notify you by email before suspending your access; however, we reserve the right to suspend access immediately, without prior notice, where we believe it is necessary to protect the security, integrity, or availability of our platform for other customers.

8. Pricing and Payment

  1. Prices published on our Site are quoted per successful match (whether for an email address, phone number, or both), and are exclusive of VAT or any equivalent sales tax unless otherwise stated.
  2. Consistent with our "pay only when we find a valid match" model, you are billed exclusively for enrichment requests that return a verified, valid result. Unmatched or invalid requests are not charged to your account.
  3. All payments are processed securely through our third-party payment processor, Stripe. By submitting payment details, you confirm that the payment method used belongs to you, or that you are duly authorised to use it on behalf of your business.
  4. Volume-based pricing discounts apply automatically as your usage increases, in accordance with the pricing tiers published on our Site from time to time. TargetWise reserves the right to update these pricing tiers, provided that any change will not retroactively affect enrichment credits or services you have already purchased.
  5. If a payment fails for any reason, we will notify you promptly and may temporarily pause access to paid features of the Service until the payment issue has been resolved.

9. Accessing Your Enriched Data

  1. Once a valid match has been found and successfully billed, results are made available to you either directly within the API response or as a downloadable export from your account dashboard, depending on how your enrichment request was originally submitted.
  2. Exported files and enrichment results remain available within your account dashboard for a period of 12 months from the date they were generated. If you require access to historical results beyond this period, please contact us at office@targetwise.ai and we will make reasonable efforts to assist with retrieval.
  3. To increase your account's usage limits, add additional team members to your account, or adjust your subscription plan, please contact us at office@targetwise.ai.

10. Cancellation, Suspension, and Termination

  1. No minimums, no fixed-term contracts
    • Unless you have entered into a separate written enterprise agreement specifying different commercial terms, TargetWise operates on a pay-as-you-go basis with no minimum spend requirement and no obligation to enter into a fixed-term contract.
    • You are free to stop using the Service at any time. Any unused prepaid enrichment credits, where applicable, are governed by the specific refund terms communicated to you at the time of purchase.
  2. Suspension or termination by TargetWise
    • We may suspend or terminate your account if you breach these Terms and fail to remedy that breach within 30 days of being notified of it in writing, or where we reasonably believe your account is being used in a manner that risks the security, integrity, or availability of our platform for other customers.
    • Upon termination of your account, your access to our API, dashboard, and any active subscription will end immediately. You will remain liable for any outstanding fees accrued prior to termination.
    • Termination of your account does not affect either party's accrued rights or remedies in respect of any breach of these Terms that occurred prior to termination.

11. Availability of Our Platform

  1. We make reasonable efforts to keep our API, dashboard, and website available at all times, save for periods of scheduled maintenance, and to restore access as quickly as reasonably possible in the event of any interruption.
  2. Where practical, we will provide advance notice of planned maintenance that we expect may materially affect the availability of our Service.
  3. Where access to our platform depends on API keys, passwords, or other login credentials, you are responsible for taking reasonable steps to keep such credentials confidential, and for promptly reporting any suspected compromise or unauthorised use to us at office@targetwise.ai.
  4. In the event of any suspected unauthorised use of our platform, we may, at our discretion, suspend access by the relevant account until we are satisfied that the unauthorised use will not recur.

12. Privacy

We take the privacy and security of personal data seriously. Please refer to our Privacy Notice for a detailed explanation of what personal information TargetWise collects, why we collect it, how long we retain it, and what rights you have in relation to it.

13. Links to Third-Party Websites

  1. Our Site may include links to third-party websites, including research tools, integration partners, and other useful resources. We have not reviewed these third-party websites in detail, do not control them, and are not responsible for their content, availability, security, or accuracy.
  2. If you choose to visit any third-party website linked from our Site, you do so entirely at your own risk. Any personal information you provide to that third-party website will be governed by its own privacy policy, not by TargetWise's Privacy Notice — we encourage you to review any such policy carefully before submitting personal information.
  3. You are welcome to link to our Site from your own website, provided that: (a) our Site is not loaded into frames on your website or otherwise presented as your own content, and (b) your website does not misrepresent your relationship with TargetWise or present false information about us.
  4. We reserve the right to withdraw permission for any such link at any time, without prior notice.

14. Your Responsible Use of the Site and API

  1. We welcome and encourage your use of our Site, API, and dashboard, provided your use remains lawful at all times. You must not use our Service for any unlawful purpose, and in particular must not attempt to disrupt, interfere with, or gain unauthorised access to our systems, networks, or those of any third party connected to our Service.
  2. You are responsible for ensuring that anyone using your account credentials — including employees, contractors, or agents of your business — complies fully with these Terms. Acceptance of these Terms by any individual user acting under your account does not relieve you of your own obligations and responsibilities under these Terms.

15. Intellectual Property

  1. All copyright, database rights, trademarks, trade secrets, and other intellectual property rights in and relating to our Site, our platform, our proprietary matching technology, and the underlying data infrastructure remain, at all times, the exclusive property of TargetWise or its licensors. Nothing in these Terms transfers ownership of any such rights to you.
  2. At our request, and at our expense, you agree to provide reasonable assistance to TargetWise in connection with any legal proceedings relating to the infringement of our intellectual property rights.
  3. Your right to use enriched contact data obtained through our Service is limited to the permitted uses described in Section 4 above. Nothing in this clause restricts your ownership of your own underlying business records, CRM data, or customer relationships.

16. Confidentiality

  1. Both parties acknowledge that, in the course of using or providing the Service under these Terms, they or their employees may be exposed to non-public information that is proprietary or confidential to the other party ("Confidential Information"). Both parties agree to hold such Confidential Information in strict confidence, not to disclose it to third parties, and to use it solely for the purposes of this agreement.
  2. TargetWise agrees that it will not, without your prior written consent, represent, directly or indirectly, that you have approved, endorsed, or recommended any TargetWise product or service.
  3. We do not store full payment card details on our own systems — these are handled directly and securely by our payment processor, Stripe — and we do not sell or otherwise share your customer account information with unrelated third parties.

17. Warranties, Indemnities, and Limitation of Liability

  1. TargetWise warrants that it will operate its Site, API, and platform, and provide the Service, with reasonable skill and care, and will make reasonable efforts to correct any material faults of which we become aware within a reasonable timeframe.
  2. Match rates, data accuracy, and the completeness of enriched contact records are provided on a reasonable-efforts basis. While we work continuously to maximise the accuracy and coverage of our matching technology, we cannot and do not guarantee a specific match rate for any individual request, nor can we guarantee that every enriched record will be entirely current, error-free, or complete.
  3. You agree to indemnify, defend, and hold harmless TargetWise, its directors, officers, employees, and licensors from and against any claim, liability, cost, or loss arising from your misuse of the platform, or from any breach by you of your obligations under these Terms.
  4. To the fullest extent permitted by applicable law, TargetWise excludes liability for any indirect, incidental, special, or consequential losses — including loss of profits, loss of business opportunity, loss of goodwill, or loss of data — arising out of or in connection with your use of, or inability to use, our Service, except to the extent such liability cannot lawfully be excluded (for example, liability for death or personal injury caused by our negligence, or for fraud).
  5. Our Service is provided on an "as is" and "as available" basis. We do not guarantee that access to our Site, API, or dashboard will be uninterrupted, timely, or entirely free of errors, and we disclaim liability for technical issues affecting your own systems, provided we have acted with reasonable care in the operation of our Service.

18. Changes to These Terms and to the Service

  1. We may update these Terms from time to time by posting a revised version on our Site. Where changes are material, we will make reasonable efforts to notify registered account holders, such as by email. Your continued use of our Service after any such update constitutes your acceptance of the revised Terms.
  2. We reserve the right to make changes to our pricing, features, or platform functionality from time to time, provided that such changes will not materially and adversely affect services or credits you have already purchased.
  3. Assignment — You may not assign, sub-license, or otherwise transfer your rights or obligations under these Terms without our prior written consent.
  4. Force Majeure — TargetWise will not be considered in breach of these Terms, and will not be liable for any failure or delay in performing its obligations, where such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, system or infrastructure failures caused by third-party providers, strikes, civil unrest, acts of terrorism, or war.
  5. Severability — If any provision of these Terms is found by a competent authority to be invalid, illegal, or unenforceable, that provision will be deemed severed from the remainder, and the validity and enforceability of the remaining provisions will not be affected.
  6. Entire Agreement — These Terms, together with our Privacy Notice, Cookie Policy, and GDPR page, constitute the entire agreement between you and TargetWise in relation to your use of our Site and Service, and supersede any prior agreements or understandings, whether written or oral.
  7. Governing Law — These Terms, and any dispute or claim arising out of or in connection with them, are governed by and construed in accordance with the laws of England and Wales.
  8. Dispute Resolution — In the event of any dispute arising out of or in connection with these Terms, both parties agree to first attempt to resolve the matter through good-faith direct discussion. If the dispute cannot be resolved informally within a reasonable period, either party may pursue formal dispute resolution through the courts of England and Wales, which shall have exclusive jurisdiction over any such dispute.

19. Notices

Any notices we are required or permitted to send you under these Terms will be sent to the email address associated with your TargetWise account. Any notices you wish to send to TargetWise should be sent in writing, either by email to office@targetwise.ai, or by post to our registered address set out in Section 21 below.

20. Complaints

If you have any complaint about our Service, please contact us at office@targetwise.ai, or by post at the address below. We will make every reasonable effort to acknowledge and resolve your complaint promptly and fairly.
