Terms and conditions

The terms for TargetWise business accounts, subscriptions, usage balances, data licences and cancellation.

At a glance

Your monthly subscription funds your usage balance. Email and phone results use that balance at your plan’s rates. Subscriptions renew monthly until cancelled.

1. Who the agreement is with

TargetWise is a service operated by GDB HOLDINGS LIMITED, a company registered in England and Wales with company number 16949965. Registered office: Artisans' House, 7 Queensbridge, Northampton, Northamptonshire, United Kingdom, NN4 7BF. Contact: office@targetwise.ai.

These terms govern business use of the TargetWise website, dashboard, APIs and MCP service. ‘We’, ‘us’ and ‘our’ mean the operator identified above. ‘You’ means the business accepting these terms and its authorised users. You must be at least 18 and have authority to bind that business. The service is offered for business purposes, not personal or household use.

By creating an account or placing an order with these terms made available to you, you accept them. A signed order form takes priority only where it expressly changes these terms. The Data Processing Addendum (DPA) takes priority for processor obligations, and mandatory transfer clauses take priority over conflicting contractual provisions. The Privacy Notice explains our processing; it is not a request for blanket consent.

2. Accounts and access

Provide accurate account and billing details, keep them current and ensure each user is authorised. You are responsible for activity carried out with credentials you control, including requests made by your integrations or agents. Protect passwords and API keys, revoke unused credentials and notify us promptly if you suspect unauthorised access.

Access depends on your plan, available balance, enabled operations and technical limits. Do not create duplicate accounts to repeat a free allowance, share credentials outside your organisation or bypass rate limits. We may require reasonable verification to protect accounts and prevent misuse.

3. Service and data quality

TargetWise provides professional contact and company search, enrichment and lookup features through the interfaces enabled for your account. Source coverage and available fields vary. We will provide the paid service with reasonable care and skill. A service-level commitment applies only if agreed in writing.

A returned result is a data match, not a guarantee of accuracy, freshness, deliverability, ownership of a number or permission to contact someone. A business-phone result may be unclassified; it is not a verified mobile, direct dial or switchboard unless the response explicitly identifies it as such. Review results before relying on them.

Free and beta features may change or end. We may maintain or update the paid service, including replacing sources. If we permanently withdraw a material paid feature without a substantially equivalent replacement, you may end the affected service and request a proportionate refund for the unused prepaid period.

4. Subscription, balance and result charges

Standard plans are billed monthly in advance in US dollars. The full monthly subscription amount becomes the included usage balance; it is not an additional platform fee on top of result charges. Applicable taxes, if any, are shown at checkout or on the invoice.

The table below describes standard email and business-phone enrichment. Other operations require an enabled entitlement and an agreed price; access to an API route does not create an unpriced usage entitlement.

  • A requested field that is not found costs $0. If email and phone are both requested and returned, both field rates apply.
  • Repeating a successful billable request may use balance again; retrieving an already saved result does not make a new enrichment request.
  • An in-flight request may temporarily reserve balance. Failed or unmatched fields release their unused reservation.
  • Unused standard-plan balance expires at renewal, does not roll over and cannot be transferred or exchanged for cash.
  • When the available balance cannot cover a request, billable enrichment stops. There is no automatic overage charge.
  • The free allowance is 20 email results and 5 business-phone results per free workspace. It is an introductory allowance, not a daily or monthly renewal, and does not automatically become a paid subscription.

5. Renewal, cancellation and plan changes

By purchasing a subscription, you authorise the recurring monthly charge displayed at checkout until you cancel. Renewal occurs on the billing schedule shown in your billing account. Paid benefits are activated after payment is confirmed and associated with your account.

Cancel before the next renewal through the dashboard billing portal. If you cannot access it, email office@targetwise.ai before renewal and identify the account. Cancellation prevents future renewals and normally leaves access available until the paid period ends. Signing out, deleting an integration or not using your balance does not cancel a subscription.

Upgrades, downgrades and any prorated amounts take effect as shown in the billing portal before you confirm. We do not promise a mid-period change where the portal does not offer it. A failed payment may pause paid access; payment retries and the next billing action are shown by the payment provider.

We will give at least 30 days’ notice by account email before increasing your recurring price. The new price applies from a renewal after that notice period. You may cancel before it takes effect.

6. Refunds and billing disputes

Except where law requires otherwise or these terms expressly provide a refund, fees for a started billing period and unused or expired balance are non-refundable. Cancelling a renewal is not a refund request. This rule does not exclude a remedy for our breach of the agreement.

If you believe you were billed incorrectly, contact office@targetwise.ai with the invoice or request ID and the issue. We will investigate and correct confirmed duplicate, unauthorised or erroneous charges, including restoring incorrectly deducted usage. Report issues promptly so relevant records remain available; this does not shorten any mandatory legal right. Do not send payment-card details, passwords or API keys.

7. Customer data and permitted use of results

You retain your rights in data you submit. You grant us the limited rights needed to receive, transmit, match, store, secure and return that data to deliver the service under your instructions. This does not grant us a right to sell your customer lists or train a general-purpose model on Customer Personal Data processed under the DPA.

Subject to payment and these terms, you receive a non-exclusive licence to use lawfully obtained results for your internal business operations, including your internal software and AI-assisted workflows. You may retain results already obtained for those purposes after subscription expiry, subject to privacy rights, lawful retention limits and any valid removal requirement. Access to new results, refreshes and updates requires a current entitlement.

Reselling a database, redistributing results to customers, embedding them in a third-party product, providing an agency service or training a model requires an order form that expressly permits that activity. An Enterprise agreement can define those rights. The service, software, branding and supplier rights remain with their respective owners. No rights to source credentials or routing logic are granted.

8. Acceptable use and outreach

You must have a lawful basis for data you submit and for your use of results. A work email or business-phone result does not establish consent, a lawful marketing basis or an exemption from local communications rules. You must provide required privacy information, honour objections and suppression lists, screen applicable do-not-call registers and obtain consent where required.

Do not use TargetWise for unlawful surveillance, harassment, doxxing, discrimination, fraud or the inference of sensitive traits. Do not submit special-category data, criminal-offence records, passwords, financial-account credentials or unnecessary identity documents. The service is not intended for identifying children.

Do not use the data as a consumer report or for decisions about consumer credit, insurance, housing or employment eligibility. Do not attack the service, extract data outside your entitlement, evade sanctions or export controls, or reverse engineer it except to the extent law permits despite this restriction. You remain responsible for actions taken by your connected software or AI agents.

9. Confidentiality and data protection

Each party will protect the other’s non-public business, technical and customer information with reasonable care, use it only to perform or receive the service and disclose it only to people or providers who need it and are subject to confidentiality duties. This does not cover information independently developed, lawfully received without restriction or public without a breach.

A party may disclose information required by law, notifying the other party in advance where legally permitted. Confidentiality continues after termination for as long as the information remains confidential. Personal-data obligations are set out in the DPA and applicable law; each party remains responsible for processing it controls.

10. Suspension and termination

We may restrict access to address non-payment, compromised credentials, unlawful activity or material breach. We will give notice and an opportunity to resolve the issue where practicable, and limit a suspension to what is reasonably necessary. We may act immediately if delay would create a material security or legal risk.

Either party may terminate for a material breach that is not remedied within 30 days after written notice, or immediately if the breach cannot be remedied. If you terminate for our uncured material breach, we will refund the unused prepaid portion of the affected service. We may terminate for convenience with at least 30 days’ notice and the same proportionate refund.

On termination, access to the service ends, accrued payment obligations remain due and customer-data return or deletion follows the DPA. Export information you need before access ends. Confidentiality, accrued rights, permitted retained-data use, intellectual property and liability provisions survive to the extent needed to give them effect.

11. Warranties and liability

Except for our express commitments and obligations that cannot legally be excluded, the service and data are provided as available without a guarantee of uninterrupted service, completeness, accuracy or suitability for a particular decision. Neither party is liable for indirect or consequential losses, or loss of anticipated profit or business opportunity, to the extent permitted by law.

Subject to the exceptions below, our total aggregate liability arising from the agreement is limited to the TargetWise fees you paid in the 12 months immediately before the event giving rise to the claim. Related events are treated as one event. An order form may agree different limits.

Nothing in these terms limits or excludes liability for fraud or fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability or statutory right that cannot lawfully be limited or excluded. Contractual limits do not bind regulators or remove an individual’s rights under data-protection law.

12. Changes, notices and governing law

This version applies to new acceptances from the date above. We will give existing customers at least 30 days’ notice of material contractual changes by account email, taking effect at a subsequent renewal. Changes urgently required by law or security may take effect sooner, with notice as soon as practicable. We will not apply changes retrospectively to a dispute that has already arisen.

Formal notices may be sent to office@targetwise.ai or our registered office. We use the account email you provide for contractual notices. An invalid provision does not invalidate the rest of the agreement; failure to enforce a provision is not a waiver. Neither party may transfer the agreement without the other’s reasonable consent, except to a successor in a merger or sale of the relevant business that assumes its obligations.

These terms and the applicable order form are the complete agreement for the service; neither excludes liability for fraudulent statements. The laws of England and Wales govern the agreement and its courts have exclusive jurisdiction, subject to any mandatory law. Contact us first if a dispute arises so that we can try to resolve it.
